Terms of Service

1. Agreement and Acceptance
These Terms of Service are a binding agreement between each user and Mint Catalog governing access to the website, catalog-evaluation services, advisory support, introductions, communications, and related services. By accessing the platform, submitting information, requesting an evaluation, or using any service, you acknowledge that you have read, understood, and accepted these Terms. If you do not agree, you must not use the Services.

2. Eligibility and Authority
You must be at least eighteen years old and legally capable of entering a binding agreement. If acting for a company, band, estate, trust, rights holder, or other organization, you represent that you possess authority to bind that party and have obtained all approvals required from owners, artists, writers, producers, administrators, heirs, and other interested persons.

3. Services and Role of Mint Catalog
Mint Catalog is a music-technology, catalog-evaluation, advisory, and introduction platform. Services may include royalty and streaming analysis, preliminary valuation estimates, market research, transaction-readiness support, buyer introductions, and administrative assistance. Mint Catalog is not automatically the purchaser, seller, lender, label, publisher, distributor, fiduciary, attorney, accountant, investment adviser, securities broker, or agent of any user.

4. No Offer or Guarantee
A submission, evaluation, valuation range, introduction, or communication is not a binding offer, financing commitment, purchase obligation, or guarantee. Mint Catalog does not guarantee eligibility, buyer interest, an offer, a particular purchase price, future royalty income, or completion of a transaction. Any binding transaction requires separate definitive written agreements.

5. Accounts and Security
Users must provide accurate and current information, protect login credentials, and promptly report suspected unauthorized access. Mint Catalog may require identity or authority verification and may restrict or terminate accounts to address inaccurate information, suspected fraud, security concerns, legal risk, or violations of these Terms.

6. Catalog Materials and User Representations
Users may submit royalty statements, distributor reports, publishing statements, agreements, metadata, streaming information, ownership records, and related materials. You represent that all submitted information is accurate, complete, lawfully obtained, and not misleading; that you own, control, administer, or are authorized to submit the relevant rights; and that you have disclosed material disputes, liens, advances, recoupment obligations, assignments, licenses, claims, restrictions, and encumbrances.

7. Ownership and Limited License
You retain ownership of your music, copyrights, masters, compositions, royalty interests, financial documents, and other submitted materials. You grant Mint Catalog a limited, non-exclusive, worldwide, royalty-free license to host, store, review, analyze, organize, summarize, and process materials for providing the Services and, when appropriate to your request, to present relevant information to qualified potential counterparties and supporting professional advisers. This license does not transfer ownership or authorize exploitation of your music as a label, publisher, or distributor.

8. Confidentiality and Information Security
Mint Catalog recognizes that catalog and financial materials may be commercially sensitive. We will use reasonable safeguards designed to protect information, but no system is completely secure. Information may be shared with personnel, contractors, technology providers, professional advisers, and potential counterparties that reasonably require access for evaluation, diligence, or a potential transaction, and may be disclosed where required by law or necessary to protect rights, safety, security, or prevent fraud.

9. Valuations and Analytics
All valuations, multiples, forecasts, projections, market observations, and analyses are estimates and opinions based on available information, assumptions, historical performance, and market conditions at a particular time. They are not appraisals, fairness opinions, guarantees of fair market value, investment recommendations, or promises of future performance. Actual outcomes may differ materially because of revenue volatility, platform concentration, ownership splits, recoupment, rights duration, contractual restrictions, data quality, market changes, diligence findings, and buyer strategy.

10. Introductions and Transactions
Mint Catalog may introduce users to buyers, investors, funds, lenders, financial institutions, or strategic partners. An introduction is not an endorsement or warranty regarding any party’s identity, solvency, reputation, intentions, regulatory status, ability to perform, or proposed terms. Each user is responsible for independent diligence and remains free to accept, reject, negotiate, or discontinue an opportunity unless a separate written agreement provides otherwise.

11. Separate Transaction Documents
Potential transactions may require letters of intent, purchase agreements, assignments, licenses, financing documents, advisory agreements, fee agreements, confidentiality agreements, and other definitive documents. Those agreements govern the applicable transaction. If a signed transaction-specific agreement conflicts with these Terms, it controls only for its stated subject matter.

12. Fees and Compensation
Fees, subscriptions, commissions, success fees, advisory compensation, expense reimbursement, or other charges will be disclosed in a separate written agreement or clearly presented before becoming binding. Submission alone does not create an undisclosed obligation to pay a transaction fee. Users are responsible for applicable taxes other than taxes based on Mint Catalog’s net income.

13. Non-Circumvention
Any protected-party, non-circumvention, tail-period, or continuing-fee obligation must be stated in a separate written agreement. These Terms do not create an undisclosed commission or perpetual restriction. Users may not use fraud, concealment, false identities, or intentional misrepresentation to avoid compensation expressly owed under a valid agreement.

14. No Professional or Fiduciary Advice
Platform information is provided for general analytical and commercial purposes and is not legal, tax, accounting, investment, securities, or regulated financial advice. No communication creates an attorney-client, accountant-client, fiduciary, trustee, partnership, employment, or agency relationship. Users should obtain independent professional advice regarding ownership, chain of title, taxes, transaction structure, regulatory issues, and definitive agreements.

15. Third-Party Services
The Services may interact with streaming platforms, distributors, collection societies, publishing administrators, analytics providers, cloud services, identity services, payment providers, and other third parties. Their services are governed by their own terms and privacy practices. Mint Catalog does not control and is not responsible for third-party availability, data accuracy, security, policies, API changes, account actions, or interruptions.

16. Mint Catalog Intellectual Property
The website, software, interfaces, designs, graphics, text, databases, branding, logos, trademarks, trade dress, and original platform content are owned by or licensed to Mint Catalog and protected by law. Users may not copy, modify, distribute, sell, license, scrape, reverse engineer, frame, mirror, create derivative works from, or commercially exploit protected platform elements without written authorization or a legal right to do so.

17. Acceptable Use
Users may not submit forged, stolen, manipulated, fraudulent, or unlawfully obtained materials; misrepresent ownership or authority; impersonate others; infringe intellectual-property, privacy, publicity, contractual, or other rights; upload malware; probe security; interfere with the Services; harvest data without authorization; evade restrictions; or use the Services for unlawful activity.

18. Copyright Complaints
A rights holder may send a complaint to admin@contactmint.info identifying the protected work, allegedly infringing material, contact information, a good-faith statement, a statement regarding accuracy and authority, and a physical or electronic signature. Mint Catalog may remove or restrict material and may terminate repeat infringers where appropriate.

19. Privacy and Electronic Communications
Use of personal information is governed by the Mint Catalog Privacy Policy. By providing contact information, users consent to transactional and service-related electronic communications. Promotional communications may be declined through available unsubscribe methods, while security, legal, and service communications may continue.

20. Availability and Changes
The Services may be modified, restricted, suspended, or discontinued and may be unavailable because of maintenance, technical failures, third-party outages, security events, legal requirements, or circumstances beyond reasonable control. Mint Catalog does not guarantee continuous, timely, secure, or error-free operation.

21. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MINT CATALOG DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT SERVICES, DATA, VALUATIONS, INTRODUCTIONS, OR CONTENT WILL BE COMPLETE, CURRENT, SECURE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR A PARTICULAR PURPOSE.

22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINT CATALOG AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, ROYALTIES, REVENUE, OPPORTUNITIES, GOODWILL, BUSINESS, OR DATA; OR BUSINESS INTERRUPTION. AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT PAID FOR THE RELEVANT SERVICE DURING THE PRECEDING TWELVE MONTHS OR $100, EXCEPT WHERE LAW REQUIRES OTHERWISE.

23. Indemnification
To the extent permitted by law, users agree to defend, indemnify, and hold harmless Mint Catalog and its related parties from claims, liabilities, losses, damages, costs, and reasonable attorneys’ fees arising from use of the Services, submitted materials, breach of these Terms, inaccurate representations, violation of law or third-party rights, or ownership, royalty, copyright, contractual, and authority disputes involving submitted materials.

24. Suspension and Termination
Mint Catalog may suspend, restrict, or terminate access, remove submissions, or decline further services when it reasonably believes a user violated these Terms, created legal or security risk, provided misleading information, or misused the Services. Provisions concerning ownership, confidentiality, fees, disclaimers, liability, indemnification, disputes, and general legal terms survive as appropriate.

25. Governing Law and Informal Resolution
These Terms are governed by California law without regard to conflict-of-law principles. Before commencing arbitration or litigation, a complaining party must provide written notice describing the dispute, facts, requested relief, and contact information. The parties will attempt in good faith to resolve the matter for at least thirty days, without preventing eligible small-claims actions or urgent requests for injunctive relief.

26. Arbitration and Class-Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, UNRESOLVED DISPUTES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY A NATIONALLY RECOGNIZED PROVIDER UNDER APPLICABLE RULES, EXCEPT ELIGIBLE SMALL-CLAIMS MATTERS AND CERTAIN REQUESTS FOR INJUNCTIVE RELIEF. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION.

27. Changes to Terms
Mint Catalog may revise these Terms and will post the updated version with a revised date. Where required, additional notice will be provided. Changes apply prospectively. Continued use after the effective date constitutes acceptance where permitted by law; users who disagree must stop using the Services.

28. General Provisions
Users may not assign these Terms without prior written consent. Mint Catalog may assign them in connection with an affiliate transfer, financing, merger, acquisition, reorganization, asset sale, or change of control. Mint Catalog is not liable for failures caused by events beyond reasonable control. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure to enforce a right is not a waiver. These Terms, the Privacy Policy, and applicable signed agreements constitute the relevant entire agreement. No third-party beneficiaries are created except as expressly stated.
